LEGAL TERMS & GOVERNANCE

Terms & Conditions of Service

These terms govern client engagements, custom software engineering contracts, digital marketing services, IP ownership transfer, and technical delivery commitments.

Effective Date: August 24, 2026

1. Engagement & Statement of Work

All software development, SEO, custom engineering, or IT consulting engagements provided by Datacube Softech ("Company") are governed by these Terms & Conditions alongside a specific Statement of Work (SOW), Master Services Agreement (MSA), or project quotation mutually executed between the parties.

In the event of any direct conflict between these Terms & Conditions and an executed SOW, the terms of the specific SOW shall prevail for that project.

2. Client Obligations & Cooperation

Timely project execution relies on active client participation. Clients agree to:

  • Provide timely access to necessary technical credentials, APIs, assets, and business requirements.
  • Designate a qualified internal Project Sponsor or Point of Contact for sign-offs and feedback reviews.
  • Review and respond to milestone deliverables within 5 business days of delivery.

3. Payment Terms, Billing & Fees

Services are invoiced based on agreed milestone structures, time-and-materials rates, or monthly retainer models. Standard invoices are due within 15 calendar days of issuance unless explicitly stated otherwise in the SOW.

Late payments exceeding 30 calendar days beyond the due date may incur a monthly late fee of 1.5% on outstanding balances and may result in temporary suspension of active engineering services.

4. Intellectual Property & Code Transfer

Datacube Softech commits to complete transparency regarding client code ownership:

100% Code Ownership Transfer Upon Settlement

Upon complete financial settlement of all invoices for a project deliverable, all worldwide rights, titles, source code repositories, software architecture, and custom designs created under that SOW are irrevocably transferred to the client.

5. Scope Changes & Revisions

Any requests for additional features, design modifications, or scope expansions outside the initial SOW baseline will be documented through a formal Change Request (CR). CRs will detail estimated impacts on project budget and delivery timelines prior to implementation.

6. Warranties & Limitation of Liability

Datacube Softech provides a 90-day post-launch bug warranty on custom software deliverables.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, or punitive damages arising from project delays or third-party platform downtime. Datacube's total aggregate liability under any contract is capped at the total amount paid by the client under the specific SOW in the preceding 6 months.

7. Termination of Service

Either party may terminate an active service contract for convenience by providing 30 calendar days written notice. Upon termination, the client agrees to settle payment for all completed milestones and work-in-progress completed up to the effective termination date.

8. Governing Law & Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with applicable corporate commercial law, subject to mandatory arbitration prior to court litigation.
